Terms of Service

Welcome to Fadeo. Fadeo is a public, ephemeral social app where the words you post fade into a small emoji artifact after a duration you choose. These Terms of Service (“Terms”) are a binding agreement between you and us, and they govern your use of the Fadeo app, website, and related services (together, “Fadeo” or the “Service”).

Fadeo is operated by Yung-An Fang, under the name Openmouse Studio (“Openmouse Studio”, “we”, “us”, or “our”). You can reach us at hello@openmouse.co. Throughout the rest of these Terms we refer to the Service simply as “Fadeo”.

Please read these Terms carefully. You agree to these Terms by completing the acceptance step described in Section 1. If you use Fadeo without an account, for example browsing public content, these Terms still govern that use. You also acknowledge our Privacy Policy. If you do not agree, do not use Fadeo.

1. Acceptance of these Terms

You accept these Terms when you set up your Fadeo account, as a clear and separate step, before you can post, reply, react, follow, or otherwise contribute content. We record the version of the Terms you accepted and the date and time you accepted it. If we make a material change to these Terms, we will ask you to review and accept the updated version before you continue using features that require an account.

2. Eligibility and age

You must be at least 16 years old to use Fadeo. By using Fadeo you confirm that you are 16 or older and that you have the legal capacity to enter into these Terms, or that your parent or legal guardian has authorized your use of Fadeo where that is required by applicable law. Fadeo is not directed to children, and we do not knowingly allow people under 16 to create an account. If we learn that an account belongs to someone under 16, we may suspend or remove it.

Fadeo uses age signals provided by your device and, where needed, a declared-age step to help keep underage people from accessing the Service. You agree to provide accurate age information when asked.

3. How Fadeo works

Fadeo is built around a single idea: words fade, feelings stay. You should understand the following before you post.

Posts are public. Anything you post or reply can be seen by anyone, including people who are not signed in. Do not post anything you are not comfortable sharing publicly.
Posts fade. When you create a post you choose how long it stays readable. After that time, your text is replaced for the public by a small emoji artifact (1 to 5 emoji) generated from your words. The public also continues to see the post’s reaction count and reply count.
You keep your originals. As the creator, you keep the full original text of your post in your private archive, even after the post has faded, along with the replies it received, unless a reply is deleted by its author or removed.
After fading, the app shows replies only to the post’s creator. While the parent post is live, its replies are visible to everyone. Once the post fades, Fadeo stops showing the replies to everyone except the creator of the parent post: the public, and the people who wrote the replies, no longer see them in the app, while the post’s creator keeps full access, unless a reply is deleted by its author or removed. Because anything public can be seen or saved by others while it is live, we cannot guarantee that no copy of a post or reply exists anywhere after it leaves public view.
Reactions and emoji are generated automatically. Fadeo generates the post’s reaction emoji and its fade emoji on your device when you create or edit a post. No third party is involved in generating them.
Fading is not the same as deletion. Fading removes your text from public view. It does not erase every copy. As explained in Section 7 and in our Privacy Policy, we may keep limited copies for moderation, security, legal, and backup purposes, including a snapshot of reported content.

Fade durations, the edit window, and similar settings are configurable and may change as Fadeo evolves.

4. Your account

Fadeo supports Sign in with Apple. You are responsible for the activity that happens through your account and for securing any account or credentials used to access Fadeo, including your Apple ID. Tell us promptly at hello@openmouse.co if you believe your account has been used without your permission.

Your handle, display name, bio, and posts are public. Choose them accordingly.

5. Acceptable use and our zero-tolerance policy

Fadeo has zero tolerance for objectionable content and abusive behavior. This is the most important promise in these Terms, and we enforce it.

You agree that you will not post, share, or transmit any content, and will not engage in any conduct, that:

harasses, bullies, threatens, stalks, or intimidates any person;
is hateful or promotes violence or discrimination against people based on race, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic;
is sexually explicit, pornographic, or sexually exploits or endangers a minor;
depicts or encourages self-harm, suicide, or serious physical harm;
is unlawful, defamatory, fraudulent, or deceptive;
impersonates another person or misrepresents your affiliation with a person or organization;
infringes anyone’s intellectual property, privacy, or other rights;
is spam, or is posted through automated or bulk methods; or
attempts to disrupt, attack, reverse engineer, or gain unauthorized access to Fadeo or its systems.

You are solely responsible for everything you post. We may remove content, limit features, or suspend or terminate an account at any time, with or without notice, when we believe these Terms have been broken or when we need to protect Fadeo or its users.

6. Reporting, blocking, and moderation

We give you tools to keep your experience safe, and we act on what you report.

Report. You can report any post, reply, or user. Reporting a post or reply also hides it from your view. We review reports and respond in a timely way.
Block. You can block another user. Blocking is mutual in effect: neither of you will see the other’s content or be able to interact, and any existing follow between you is removed.
Automatic hiding. When enough unique users report the same post or reply, it is automatically hidden from everyone.
Creator moderation. If you create a post, you can remove other people’s replies from it.

We may also remove content or take action on accounts on our own initiative. We are not obligated to monitor all content, but we may do so. You can reach us about any safety concern at hello@openmouse.co.

7. Your content and the license you give us

You own your content. You keep all rights you already have in the text you post and reply with (“Your Content”).

To operate Fadeo, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, adapt, publish, and display Your Content, and to create the emoji artifacts and reaction emoji derived from it, all for the purpose of running, securing, and improving the Service. This license lets us show Your Content the way Fadeo is designed to work, including the fading behavior described in Section 3.

The license to publicly display your original text ends when that text leaves public view, for example when the post fades or when you delete it or your account. The license to store and privately display original post and reply text to the relevant post’s creator, in their archive, continues until that content is deleted, removed, or no longer retained as described in these Terms and our Privacy Policy. The license to store and display the emoji artifacts, reaction emoji, and related counts derived from Your Content continues for as long as the post exists on Fadeo, and ends when the post or your account is deleted. After the applicable display license ends, a limited license to store and process the necessary copies continues only for backups, legal compliance, enforcement of these Terms, security, and handling safety reports, including a snapshot of content that has been reported, and only for as long as reasonably necessary for those purposes. Our handling of that data is described in our Privacy Policy.

You are responsible for making sure you have the rights to post Your Content and that it does not break these Terms.

8. Intellectual property

Fadeo, including its name, branding, design, user interface, software, and the way it selects and arranges the emoji it generates as part of the Service, is owned by Openmouse Studio or its licensors and is protected by intellectual property laws. This does not include Your Content. We do not claim ownership of standard Unicode emoji characters or third-party glyph artwork. These Terms do not give you any right to use our branding without our prior written permission.

Copyright complaints. If you believe content on Fadeo infringes your copyright, send a notice to hello@openmouse.co with: a description of the work, a link or enough detail to locate the content on Fadeo, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement that the information in your notice is accurate. We will review valid notices and remove infringing content where appropriate, and we may remove the accounts of repeat infringers. We respond to valid copyright complaints in accordance with applicable law.

9. Termination

You may stop using Fadeo at any time, and you can delete your account and its associated data from within the app.

We may suspend or terminate your access to Fadeo, in whole or in part, at any time, with or without notice, if you break these Terms, if we are required to by law, or if we need to protect Fadeo or its users. Sections that by their nature should survive termination, including Sections 7 (the surviving license), 8, 10, 11, 12, 13, and 15, will continue to apply after your access ends.

10. Disclaimers

Fadeo is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that Fadeo will be uninterrupted, secure, or error-free, that emoji artifacts will reflect any particular meaning, or that content will always fade, be retained, or be removed exactly as expected. The emoji artifacts are generated automatically and are not a statement by us about you or your content. We are not responsible for content posted by other users.

11. Limitation of liability

To the maximum extent permitted by law, Openmouse Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of Fadeo.

To the maximum extent permitted by law, our total liability for all claims relating to Fadeo will not exceed the greater of the amount you paid us to use Fadeo in the twelve months before the claim, or one hundred New Taiwan Dollars (NT$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Openmouse Studio from any claims, damages, losses, and reasonable expenses (including legal fees) arising out of Your Content, your use of Fadeo, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of China (Taiwan), without regard to its conflict-of-laws rules. You and Openmouse Studio agree that any dispute arising out of or relating to these Terms or to Fadeo will be brought in the courts of Taiwan, and you agree to the jurisdiction of the Taiwan Taipei District Court as the court of first instance, to the extent permitted by applicable law.

If you use Fadeo as a consumer, you may also be entitled to the protection of mandatory provisions of the law of the country where you live. Nothing in these Terms affects your rights as a consumer to rely on those mandatory provisions.

14. Changes to these Terms

We may update these Terms from time to time, and we will update the “Last updated” date above when we do. When we make a material change, we will ask you to review and accept the updated version before you continue using features that require an account. For minor, non-material updates, your continued use of Fadeo after the update takes effect means you accept it.

15. Assignment

You may not transfer or assign these Terms or your account to anyone else. We may assign or transfer these Terms, in whole or in part, including to a successor in connection with a merger, reorganization, acquisition, or sale of all or substantially all of our assets, without your consent. These Terms are binding on, and benefit, the parties and their permitted successors and assigns.

16. Apple and the App Store

When you download Fadeo from the Apple App Store, your use of the app is also governed by Apple’s standard Licensed Application End User License Agreement (the “Standard EULA”). These Terms supplement, and do not replace, the Standard EULA: they govern the Fadeo service, including your account, your content, moderation, and how the Service works. The Standard EULA controls where it necessarily applies. This agreement is between you and Openmouse Studio, not Apple, and Openmouse Studio alone is responsible for Fadeo and its content.

17. General

These Terms are the entire agreement between you and Openmouse Studio about the Fadeo service, and they do not replace Apple’s Standard EULA, which separately governs your use of the app as described in Section 16. Our Privacy Policy explains how we handle personal information; it is a disclosure rather than a part of this agreement. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver of our right to do so later. The section headings are for convenience only.
